" C o m m u n i t y " means the Economic Commun i ty of West Afr ican States. 3. " M e m b e r S t a t e " or " M e m b e r S ta tes " means a Member State or Member States of the Economic Communi ty of W e s t Afr ican Sta tes . 4. "Au tho r i t y " means the Author i ty of Heads of State and Government establ ished by article 5 of the Treaty. 5. "Execut ive Secre ta ry " or "Execu t i ve Secretar ia t " means the Execut ive Secretary or the Execut ive Secretariat of the Economic Commun i ty of W e s t Af r ican States as defined in Art ic le 8 of the Treaty. A r t i c l e 2 There is hereby establ ished wi th in the Commun i t y a guarantee mechan ism for Inter-State Road Transi t of G o o d s . A r t i c l e 3 1. The mechan ism shall consist of a chain of nat ional bodies responsib le for guaranteeing the payment of duties, taxes and other imposi t ion incurred in the territory of the Member State t rans i ted wi th in the f rame-work of the Inter-State Road Transi t of G o o d s . 2. The national body shall be the institution or body corporate designated by each Member State to provide the pr incipal obl igee wi th the requisite guarantee for cover under I S R T - E C O W A S book­ lets. 3. The national insti tut ion or body-corporate so designated shall also be appointed by the Member State as the correspondent of the national institu t ions or body-corporates des ignated by the other Member States of the Commun i t y . A r t i c l e 4 Each guarantee prov ided by the national institution or designated body-corpora te shall be valid for a s ingle transit operation commenc ing f rom ' customs of f ice or departure to the cus toms office of i..,df dest inat ion. A r t i c l e 5 1. Each designated correspondent shall represent the guarantor in its relations wi th the competent authorities in the territory of the Member State of the Correspondent . 2. The national institution or body corporate designated in each Member State and their correspondents in each of the other M em be r States shall be l inked to one another by an agree­ ment which shall define the obl igat ions between them. A r t i c l e 6 The national inst i tut ions and its cor respondents , as wel l as the principal obl igee, shall jointly and several ly undertake to comp ly wi th the obl igat ions st ipulated in the convent ion on the Inter-State Road Transit of g o o d s in force within the Commun i t y . A r t i c l e 7 In the event of partial or total failure to honour ob l iga­ t ions or contravent ion of cus tom legislation and regulat ions, the guarantor or its correspondents shal l pay the amounts due from the default ing pr incipal obl igee on demand by the cus toms department of the Member State in wh ich the offence is commi t ted . 5 J u n e 1990 Official Journa l of the E C O W A S Vo l . 17 Article 8 Each Member Sta te shall in form the Execut ive Secretar iat of all measures taken for the implementat ion of th is Supp lementary Convent ion and of all measures taken for the implementat ion of Convent ion A / P . 4 / 5 / 8 2 dated 29 M a y . 1982, on Inter-State Road Transi t of G o o d s . A r t i c l e 9 A n y dispute w h i c h may arise between Member State regarding the interpretat ion of appl icat ion of this S u p p l e m e n t a r y C o n v e n t i o n sha l l be set t led in con fo rmi ty wi th the procedure for the sett lement o f d isputes st ipulated in article 56 of the Treaty . A r t i c l e 10 1. Any Member S ta te may submi t proposals for amendment or revision of th is Supp lementary Conven t i on . 2. A n y such proposals shall be submit ted to the Execut ive Secre tary who shall communica te them to other Membe r States wi th in (30) thirty days of the receipt of such proposals. The amendments or revisions shall be examined by the Author i ty at the expirat ion of the thirty i30 i days notice per iod g iven to Membe r States. A r t i c l e 11 1. Th is S u p p l e m e n t a l Convent ion shall entet into force provis ional ly upon s ignature by the Heads of State and Government of M e m b e r s States and definit ively upon ratif ication by at least seven (7) signatory M e m b e r States in accordance wi th the const i tut ional procedures appl icable for each signatory Membe r State. 2. This Supp lementary Conven t ion and all the instruments o l ratif ication shall be deposi ted w i th the Executive Secretariat w h i c h shall transmit certif ied true cop ies to all Member States and notify them of the dates of depos i ts o ' the instru­ ments of rati f ication and shall register this Supp le ­ mentary Conven t ion wi th the Organisat ion o f Af r ican Uni ty , the United Nat ions Organisat ion and other Organisat ions des ignated by C o u n c i l . 3. This Supp lementary Convent ion shall be annexed to and shall be an integral part of the Convent ion A / P 4 / 5 / 8 2 of 29 M a y , 1982 IN F A I T H W H E R E O F , we the Heads of State and G o v ­ ernment of the E c o n o m i c Commun i t y of West A f r i ­ can S ta tes have signed this Supplementary Convent ion. Mai of the Treaty. — " C o m m u n i t y Cit izen or Commun i ty C i t i zens" means any national or nationals of a Membe r State fulfi l l ing the condit ions st ipulated in the Protoco l A / P . 3 / 5 / 8 2 relating to the definit ion of Commun i t y Cit izen. — "R igh t of R e s i d e n c e " means the right of a cit izen w h o is a national of one Member State to reside in a Member State other than this State of origin w h i c h issues h im with a residence card or permit that may or may not al low him to hold employment . — "R igh t of Estab l ishment" means the right granted to a ci t izen w h o is a national of the Member State to settle or establ ish in another Membe r State other than his State of Origin, and to have access to economic activit ies, to carry out these activi t ies as wel l as to set up and manage enterprises, and in par- 9 J u n e 1990 Official Journa l of the E C O W A S V o l . 17 t icular compan ies , under the same condi t ions as def ined by the legislat ion of the host Member State for its o w n nat ionals. — " R e s i d e n c e C a r d " or "Res idence Permi t " means the document issued by the competen t authorit ies of a M e m b e r Sta te grant ing right of residence in the territory of the Member State. — " Resident " means any c i t izen, who is a national of one Member State, and who is acco rded the right of res idence. — " M i g r a n t W o r k e r " or " M i g r a n t " means any cit izen w h o is a nat ional of one Member Sta te , who has tra­ vel led from his count ry of or igin to the territory of another Membe r Sta te of w h i c h he is not a nat ional and who seeks to ho ld employment there. — " C o m p e t e n t Admin is t ra t ion or relevant Depart­ m e n t s ' " means nat ional Admin is t ra t ions of Member S ta tes responsible for immigrat ion and emigrat ion matters. — " C o m p e t e n t Author i ty of place of res idence" means the competent local author i ty responsible for prob lems concern ing the residence of foreigners in the territory of the hose Member Sta te . — "Fundamen ta l R i g h t s " means the right granted to any migrant worker by this Protoco l and the Conven ­ t ions of the International Labour Organisat ion ULO) on the protectoin of the rights of migrant workers . — " B o r d e r area w o r k e r s " means migrant workers w h o , whi le in employment in one Member State, maintain their normal res idence in a neighbour ing Member Sta te , wh ich is their country of origin and to wh ich they return each day or at least once a week. — " S e a s o n a l W o r k e r s " means migrant workers in employment or pract ising a bus iness on their o w n account in one M e m b e r Sta te of wh ich they are not nat ionals, the act iv i ty being by its nature dependent o n seasonal cond i to ins and capable of being pract is­ ed only during a part of the year. — "Intinerant W o r k e r s " means migrant workers w h o , normal ly residing in one Member Sta te , may have to ' t rave l to another Member State for a short period for the requirements of their activit ies. — " C o m p a n y " means a company const i tuted under civi l or commerc ia l law or any other legal ent i ty const i tuted under publ ic or private law with the except ion of non-prof i t -making compan ies . 2. In this P ro toco l , the term "migran t worker " excludes (i) Persons on off ic ia l post ing w h o are employed by internat ional organisat ions and persons emp loyed by a State outs ide the terr i tory of that S ta te , w h o s e entry into the count ry and condi t ions of service are governed by general international law or by speci f ic International Ag reemen ts or C o n ­ vent ions. fiil Persons on off icial posting w h o are employed by a State outside the territory of that State for the implementat ion of cooperat ion programmes for development agreed on with the host count ry , the entry into the country and condi t ions of serv ice of such persons being establ ished by specif ic Inter­ national Ag reemen ts or Conven t ions . fiiil Persons w h o s e working relations wi th an employer have not been establ ished in the host Member State. liv) Persons who b e c o m e residents in their capaci ty as investors in a country other than their State of origin or w h o , s ince their arrival in that count ry , have been carrying out an econom ic activity as an employer . C H A P T E R II E S T A B L I S H M E N T O F O R A C C E S S T O E N T E R P R ­ I S E S A r t i c l e 2 The right of establ ishment as def ined in Ar t ic le 1 above shall include access to non-salar ied activities and the exercise of such activit ies as wel l as the creation and management of enterprises and companies w h i c h comp ly with the def ini t ion conta ined in Article 3 be low subject to the same condi t ions st ipulated by the laws and regulations of the country of establ ishment for its o w n nat ionals. A r t i c l e 3 For the purpose of implementat ion of this P ro toco l , compan ies wh ich are formed in accordance with the laws and regulations of a Member State wi th their headquarters, central seat of administrat ion or principal establ ishment wi th in the C o m m u n i t y shatl be cons idered in the same categoty as individual nat ionals of Member Sta tes . In matters o f establ ishment and services, each Member Sta te shall undertake to accord non-dis­ cr iminatory treatment to nat ionals and companies of other M e m b e r States. 2. If however , for a specif ic act ivi ty, a Member State is unable to accord such treatment, the Member State must indicate as m u c h , in wr i t ing, to the Execut ive Secretar iat . Other Member States shall then not be bound to accord non-dis­ cr iminatory treatment to nat ionals and companies of the State c o n c e r n e d . 3. The provis ions of this Pro toco l and measures taken as a result thereof shall be without prejudice to the appl icat ion of legislative and administrative provis ions, w h i c h provide a specia l treatment for non-nat ionals and are justif ied by exigencies of publ ic order, securi ty or publ ic heal th. 4 . On the recommendat ion of the Commiss ion and o n the proposal of the Counc i l , the Author i ty shall take the relevant decision for the cooperat ion and harmonisat ion of legislative, statutory and admin is trative prov is ions wh ich , in at least one Member Sta te , make access to certain non-salaried activit ies (liberal or non-liberal professions) and the exercise of such activities subject to protect ive or restrictive measures. 5. T o facil i tate access to non-salar ied activities and the exercise of such act ivi t ies, the Commiss ion shall r ecommend to the Counc i l , wh ich shall propose to the Author i ty , that decisions be taken for the mutua l recognit ion at Communi ty level of d ip lomas, cert i f icates and other quali f ications. 6. Activit ies wh ich in a Membe r State, form part, even o c c a s s i o n a l ^ , of the exercise of publ ic authority, shall be exempted f rom the provis ions of this P ro toco l . Membe r States shall therefore undertake, jointly and several ly to: Ii) implement measures to encourage participation in development efforts by e c o n o m i c operators who share the object ives and priorit ies of development cooperat ion and respect the law and regulat ions of their respect ive States; (HI accord fair and equitable treatment to such capital to encourge and create condi t ions which favour investment of such capital ; liiil promote effect ive cooperat ion between econom ic operators in their respective S ta tes . A r t i c l e 6 In order to further accelerate cooperat ion in their development efforts and increase direct ly product ive investments. Member States shall undertake to adopt prov is ions wh ich wi l l facilitate and increase the f l ow of more stable private capital and enhance : 1. co- f inancing of productive investment with the private sector ; 2. the activities and eff icacy of domest ic f inancial markets; 3. access to international f inancial markets. 11 J u n e 1990 Official Journa l of the E C O W A S V o l . 1 A r t i c l e 7 1. Asse ts and capi ta l invested by E C O W A S ci t izens who are not nat ionals of the Member State of establ ishment , hav ing been duty author ised, shall not be subjected to any act of conf iscat ion or expropriat ion on a discr iminatory basis. 2. A n y act of con f i sca t ion , expropr iat ion or nat iona- l isat ion.must be fo l lowed by fair and equi table compensa t ion . A r t i c l e 8 In recogni t ion of the intermediary role of nat ional development f inance institutions in attract ing the f l ow of capital for deve lopment coopera t ion . Member States shall undertake to encourage, as part of their monetary and f inancial coopera t ion , the establ ishment o ; enhance­ ment of : 1. national or regional export f inanc ing and export credit guarantee insti tut ions; and 2. regional payment mechanism likely to facilitate and promote mtra-communi ty trade A r t i c l e 9 In recognit ion of the need to promote 'and protect the investments of each Member State in their respect ive territories. M e m b e r States shall undertake, in their mutual interest, to harmonise their nat ional legislat ions, administrat ive rules and regulat ions governing the promot ion and protect ion of investments in order to establ ish the founda t i ons for the Commun i t y guarantee and insurance sys tems. C H A P T E R V P R O V I S I O N S G O V E R N I N G T H E M O V E M E N T O F C A P I T A L F O R I N V E S T M E N T A N D C U R R E N T P A Y M E N T S A r t i c l e 10 t 1. In t ransact ions involving movement of capital for investment and current payments , Member States shall refrain f rom taking exchange contro l measures wh ich are incompat ib le with their obl igat ions under the terms of this Protocol and earlier C o m m u n i t y p rov i s i ons , par t icu lar ly Protocol A / P . 1 /111SA of the Authori ty dated 23 November , 1984, and relating to Commun i ty Enterprises. 2. However , such obl igations shall not prevent Member Sta tes f rom taking the necessary protect ive measures for reasons of grave econo ­ mic diff iculty or serious ba lance of payment prob lems, p rov ided that the dec is ion-mak ing bodies of the Commun i t y are g iven not i f icat ion thereof. A r t i c l e 11 In the case of foreign exchange t ransact ions related to investment and current payments . M e m b e r States shall, as far as poss ib le refrain f rom tak ing d iscr imina­ tory measures a n d f rom accord ing preferential treat­ ment to nationals o f third countr ies. C H A P T E R VI C O O P E R A T I O N B E T W E E N R E L E V A N T A D M I N I S T ­ R A T I O N S IN M E M B E R S T A T E S A r t i c l e 12 The relevant authori t ies of Membe r States shal l cooperate closely wi th one another and with the Executive Secretariat in accordance with the genera l condi t ions for the realisation of the right of establ ish­ ment in order to : 1. identify activi t ies in which f reedom of es tab l ish­ ment has a particularly useful contr ibut ion to make to the development of p roduct ion and trade and to deal wi th such activities in order to priority; 2. eliminate administrat ive pract ices and procedures emanat ing either f rom internal legislation or f rom agreements earlier conc luded between Member States w h i c h , if mainta ined, w o u l d be an impedi­ ment to the f reedom of establ ishment ; 3. ensure that salar ied workers of one Member Sta te employed in the territory of another Member Sta te shall remain in the said territory to carry out non - salaried activi ty on condit ion that they fulfill the requirements binding upon any E C O W A S ci t izen arriving from his State of origin for the purpose of carrying out a non-salar ied act iv i ty; 4. make possible the acquisit ion and exploitat ion of landed property situated in the territory of one Member State by a national of another Membe r State, in-so-far as this is permi t ted by the laws and regulations of the host M e m b e r State; 5. eliminate restr ict ions to f reedom of establ ishment in any sector of activity both in terms of cond i ­ t ions for the establ ishment of agencies, branches or subsidiaries and in terms of condi t ions of entry tor staff of the parent establ ishment into the management or supervisory organs of the subsidiar ies: 6. coordinate as far as necessary wi th a v iew to mak ing them equivalent, the guarantees required f rom companies by Member States to protect the interests of both partners and third parties. 12 J u n e 1990 Official Jou rna l of the E C O W A S V o l . 17 C H A P T E R VII G E N E R A L A N D M I S C E L L A N E O U S P R O V I S I O N S A r t i c l e 13 Member States shall undertake to institute all legislative and other measures wh ich are in conformi ty with their const i tu t ional procedures and necessary for the implementat ion of the provisions of this Pro toco l . A r t i c l e 14 A n y dispute arising between Member States on the interpretation or implementat ion of this Protocol shall be resolved in accordance with the procedure for sett lement of d isputes as laid d o w n in Art ic le 56 of the Treaty. A r t i c l e 15 1, A n y Member Sta te may submi t proposals for amendment or revision of this Pro toco l . 2 A l l proposals shall be forwarded to the Execut ive Secretary w h o shall commun ica te them to Member States within thirty (30) days of receiving them. A m e n d m e n t s or revis ions shall be considered by the Author i ty at the expiration of the thirty (30) days period o f not ice granted to Member Sta tes . C H A P T E R VIII D E P O S I T A N D E N T R Y I N T O F O R C E A r t i c l e 16 1. This Supp lementary Protoco l shall enter into force, provis ional ly, upon signature by the Heads of State and Government and definit ively, upon ratification by at least seven signatory S ta tes in accordance wi th the const i tut ional procedures of each signatory Sta te . 2. This Supp lementary Protoco l and all instruments of ratif ication shall be depos i ted with the Executive Secretar iat , wh ich shall forward cer t i ­ f ied copies o f the Protocol to all Member States and shall notify them of the date of deposit of the instruments of | rat i f icat ion. Th is Protocol shal l be registered wi th the Organisat ion of Afr ican Uni ty , the United Nat ions Organisat ion and such Organi ­ sation as may be determined by the Author i ty of Heads of Sta te and Government . 3. A r t i c l e 5 The competent authori t ies in the host Member State may , in process ing appl icat ions for a Residence Card request the migrant worker to present the fo l lowing addi t ional documents in respect of his family: 1. The travel document with wh ich his family entered the territory of the host country; 2. Proof of fami ly relationship issued by the competent author i ty of the Sta te of origin or last country of domic i le A r t i c l e 6 1. The Res idence Card is not t ransferable. 2. The Res idence Card shall be acceptable as visit ing and rersidence permit and must be produced o n demand by the competent author i t ies of the host S ta te . A r t i c l e ? The processing of an application for a Residence Card may not delay the immediate execut ion of employment cont rac ts conc luded by the appl icant . Articles 1. Migrant workers shall be a l lowed to reside in host Member S ta tes and take up employment ; 2. A migrant worker may not be considered as being in an irregular situation as a result of loss of employment or cessat ion of his economic activi ty wh ich occurs before the expirat ion of his work permit or any similar document . 3. Loss of emp loyment shall not const i tute a reason for w i thdrawal of the Residence C a r d . Articles 1. T h e holder shal l immediately report the loss, theft * or destruct ion of his Res idence Card to the competent administrat ive author i ty in his area of domic i le . 2. The original report shall be sent , a long wi th a passpo r t p h o t o g r a p h , to the c o m p e t e n t department in the host country w h i c h shall issue a dupl icate copy . 3. The w o r d ; " d u p l i c a t e " shall be pr inted in capitals o n the dupl icate copy . Article 10 1. Appl icat ions for Res idence C a r d s shall attract s tamp duties in accordance wi th the Stamp and Registrat ion Code of the host count ry . 2. Issuance of the Card shall not be subject to any other form of taxat ion. P A R T III I S S U I N G A U T H O R I T Y A r t i c l e 11 1. Residence Cards shall be issued and renewed by the Department responsible for immigrat ion matters in the host State, and shall be depos i ted wi th in the month preceding their expirat ion. 2. App l ica t ion for renewal of Res idence Cards shal l be subject to the same cond i t ions governing their issuance and shall be submi t ted one month prior to the expirat ion of the Cards . A r t i c l e 12 T h e holder o f a Residence Card shal l present it for s ignature by the Immigration Depar tment each t ime he changes his residence within the territory of the host Membe r State. P A R T IV V A L I D I T Y A r t i c l e 13 1. The validity of a Residence Card shall be three 13) years. It may be renewed for success ive periods of three 13) years . 2. The holder of a Residence Card shall leave the territory of the host Membe r State at the expiration of the Residence C a r d , unless he has appl ied for its renewal one m o n t h prior to i ts expirat ion. P A R T V S A N C T I O N S A r t i c l e 14 A Residence Card may be w u n d r a w n f rom a Commun i t y ci t izen on ly by the issuing authority, whe re the holder is sen tenced by a Cour t of L a w in an E C O W A S Member Sta te to a term of impr isonment for a fe lonious of fence or misdemeanour . P A R T VI FINAL PROVISIONS Article 18 Wi th the except ion of polit ical r ights, nationals of E C O W A S Member States shall enjoy the same rights and liberties as nat ionals of the host country , particular­ ly those conta ined in the Universal Declaration of H u m a n Rights. Article 19 The rights and liberties referred to above do not in any way affect the sovere ign right of a Member State to expel nationals of another Member Sta te whose si tua­ t ion is irregular as unacceptable migrants.
